1. Overview

1.1 App License – Allows the embedding of Fonts into one Application in OTF and TTF formats. The price is determined based on the number of active monthly users.

2. Definitions

2.1 Dopestype – A trademark represented by the author - Milan Pleva, BA.
2.2 Font – Digital software font files, the type and scope of use of which are specified in the Purchase Confirmation.
2.3 Licensee – The entity or organization in whose name the Fonts are legally used, and whose name is specified during the purchase process on the Purchase Confirmation.
2.4 License – Grants the Licensee the right to use the Font and defines the terms of its use. It is a legally binding agreement between Dopestype and the Licensee.
2.5 Purchase Confirmation – A document in electronic or physical form that contains details about the type and scope of the License.
2.6 Designer – Any entity (e.g., studio, design agency, or individual) that provides services to the Licensee and installs and uses the Font on their Computer.
2.7 Subcontractor – Any third party or entity that works for the Licensee and uses the Font on behalf of the Licensee.
2.8 Computer – A device owned by the Licensee or Designer on which the Font will be installed and used.
2.9 Application – A standalone software program developed and published by the Licensee, intended for use by end Users, primarily on mobile devices, computers, or gaming consoles. All versions of the software offering the same functionality across different platforms and operating systems are considered a single application.

3. General Provisions

3.1 This end-user license agreement (hereinafter referred to as the "License") is a legal agreement between Dopestype and you, the Licensee (an entity or organization in whose name the Fonts are used, and whose name is specified during the purchase process).
3.2 By purchasing, downloading, installing, or using the Fonts in any way, the Licensee agrees to comply with the terms of this License.
3.3 This License represents the final agreement between Dopestype and the Licensee and supersedes any prior agreements or arrangements regarding the use of the Fonts.
3.4 The content of this License cannot be changed or modified without the express consent of both parties. However, Dopestype reserves the right to update and modify the License terms for future purchases. For customers who purchased the license prior to any updates, the terms that were in effect at the time of purchase will apply. The License is governed by the laws of the Slovak Republic.
3.5 By first using the Font, the Licensee confirms their acceptance of the terms of this License.

4. Grant of License

4.1 Upon receipt of payment of all applicable license fees, Dopestype grants a global, limited, non-transferable, non-exclusive, and revocable License embed the Font into one Application in accordance with the terms of this License and the scope specified in the Purchase Confirmation.

5. Scope of License

5.1 This License allows the use of Fonts within the Licensee's organization, including for commercial purposes.
5.2 The purchased License is only valid for the exact parameters specified at the time of purchase (for App License, this is the number of active monthly users).
5.3 If these parameters change over time (e.g., an increase in the number of active monthly users), the Licensee is required to expand the License.
5.4 Dopestype reserves the right to request accurate information during the purchase to ensure that the License fully reflects its actual use.
5.5 Any use of the Font for broadcasting purposes (television, radio, or online streaming) or for online services (e.g., SaaS, dynamic online platforms, etc.) requires the acquisition of an individual License, which will be granted under separately agreed conditions.

6. License Expansion

6.1 If the Licensee needs to expand the License to cover a higher number of active monthly users, they are required to purchase an additional License that covers the entire required number of active monthly users.
6.2 Licenses can be combined to cover the current number of active monthly users. For example, if the Licensee already has a License with a parameter of 50 000 active monthly users and needs to expand it to 100 000, they will purchase an additional License with a parameter of 50 000 active monthly users.
6.3 Each License applies to a precisely defined number of active monhtly users and cannot be adjusted for a non-standard number.

7. Subcontractors

7.1 Each License provided by Dopestype allows any number of Subcontractors to use the Fonts on behalf of the Licensee, in accordance with the terms of this License.
7.2 The Licensee is authorized to provide copies of the Fonts to their Subcontractors solely for the purposes related to work for the Licensee.
7.3 The Licensee is required to ensure that each Subcontractor reads and agrees to the terms of this License before gaining access to the Fonts.
7.4 If a Subcontractor ceases working for the Licensee, they must immediately destroy all copies of the Fonts they possess.
7.5 Subcontractors may not, under any circumstances, use the Fonts for their own purposes or on behalf of any party other than the Licensee.
7.6 Unless expressly permitted by Dopestype, a Subcontractor cannot be part of the Licensee's parent or subsidiary organization.

8. Purchase by Designer

8.1 The Designer is authorized to purchase a License on behalf of the Licensee (their client) if the correct details of the Licensee and the License parameters are provided during the purchase process.
8.2 The Licensee has been informed of and has agreed to the terms of this License.
8.3 The Licensee has given the Designer explicit permission to make the purchase on their behalf.
8.4 The Designer must invoice the Licensee exclusively for the actual amount paid for the License.

9. General Restrictions

9.1 The Licensee agrees to ensure that the Fonts are not accessible to the public or unauthorized third parties and must be adequately protected from unauthorized use or distribution without a valid License.
9.2 The Fonts may not be uploaded to online storage platforms where they would be publicly accessible.
9.3 Without prior written consent from Dopestype, it is not permitted to decrypt, modify, alter, reformat, create derivative works from the Fonts, or allow third parties to do so.
9.4 No part of the Font may be modified or adapted in any way unless expressly permitted in a separate agreement with Dopestype.
9.5 Without prior written consent from Dopestype, the Licensee may not transfer this License or any rights arising from it to a third party, except for Subcontractors using the Fonts on behalf of the Licensee.
9.6 It is also not permitted to publish, lease, license, or sell the Font or its parts to any third party, entity, or organization unless expressly permitted in a separate agreement with Dopestype.

10. Copyright

10.1 The design of the Font and trade names are the exclusive property of Dopestype.
10.2 All rights not expressly granted under this License remain reserved by Dopestype.
10.3 The Font, its names, the "Dopestype" brand, and its logo are protected by copyright law and marked with a trademark (™).
10.4 If copyright details are mentioned in printed or digital documents created using the Font (e.g., colophon), the Licensee is required to include the name of the Font and the author. Example: Creolia™ Font © Milan Pleva (dopestype.com).

11. Warranty

11.1 Dopestype guarantees that no part of the Font infringes the copyrights or other rights of third parties.
11.2 In case of a defect in the Font, Dopestype undertakes to repair or replace the Font within 30 days of notification, along with the submission of the Purchase Confirmation.
11.3 In the event of an irreparable defect, Dopestype may, at its discretion, refund the amount paid, thereby terminating the License immediately.
11.4 The warranty does not cover Fonts that have been modified, converted, or otherwise altered.
11.5 Dopestype does not provide any express, implied, or contractual warranty for performance, merchantability, or suitability of the Font for a particular purpose.
11.6 The Licensee uses the Font at their own risk.
11.7 Dopestype is not responsible for any direct, indirect, incidental, punitive, special, or consequential damages, including (but not limited to) lost profits, business interruption, data loss, or other economic losses caused by the use or inability to use the Font, or for any claims by third parties.
11.8 The maximum legal and financial liability of Dopestype to the Licensee or any third party, whether arising from contract, tort (including negligence), or any other legal theory, is limited to the amount paid for the respective License.

12. Indemnification

12.1 The Licensee agrees to indemnify, defend, and hold harmless Dopestype, its author (Milan Pleva, BA) from any claims, lawsuits, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from the use of the Font, violation of the terms of this License, or any unlawful act.

13. Termination of License

13.1 This License remains valid indefinitely unless its terms are violated.
13.2 In the event of any violation of the terms, Dopestype reserves the right to unilaterally terminate this License without the Licensee being entitled to financial compensation and/or charge additional fees corresponding to the actual use of the Font based on the detected violation, without the possibility of applying any discounts.
13.3 Upon termination of this License, the Licensee is required to immediately cease using the Font and remove all copies of the Font, including backup versions, from all devices on which the Font was installed.
